It requires a deliberately adversarial perspective: not asking whether the structure was well-designed and well-intentioned, but rather how a sophisticated creditor&#8217;s attorney would attack it and whether those attacks would succeed in its current state.<\/p>\n\n\n\n<p>Michael Ioane conducts risk exposure analysis as a structured examination of five primary vulnerability categories that appear most frequently in litigation: governance, documentation, financial separation, timing, and succession. Each category requires specific examination criteria and produces specific findings that can be prioritized by severity and addressed through targeted corrective measures.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Governance Examination<\/h2>\n\n\n\n<p>The governance examination reviews how decisions have actually been made in each entity and whether that decision-making process is reflected in the entity&#8217;s governance records. The examination should cover the last three to five years and ask whether significant decisions were made through the governance process required by the governing documents. Are those decisions documented in writing? Was the operating agreement or other governing document consulted before decisions were made, or were decisions made informally with documents created after the fact?<\/p>\n\n\n\n<p>The governance examination should also verify that the persons who hold governance roles in the documents are the same persons who are actually exercising governance authority in practice. An operating agreement that names a managing member who has had no actual involvement in the entity for 2 years, while another person has made all management decisions informally, indicates an entity with a governance structure that does not reflect its actual governance reality. That discrepancy is a vulnerability that both creditors and courts will identify and use.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Documentation Review<\/h2>\n\n\n\n<p>The documentation review examines the current state of all governing documents for each entity in the structure, including operating agreements, bylaws, trust documents, shareholder agreements, intercompany agreements, and any other documents that define the legal relationships among the structure&#8217;s components. The review should ask for each document: Does this document accurately reflect the entity&#8217;s current ownership, management authority, asset composition, and governance relationships? When was it last updated? What has changed since the last update that should be reflected in an amendment?<\/p>\n\n\n\n<p>The documentation review should also examine the intercompany agreements between related entities. Are all intercompany relationships governed by written agreements? Are those agreements at arm&#8217;s length terms? Are they being administered in accordance with their terms, including payment of fees on schedule and documentation of those payments in each entity&#8217;s financial records?<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Financial Separation Analysis<\/h2>\n\n\n\n<p>The financial separation analysis examines the banking, accounting, and financial statements of each entity and the owner, looking for evidence of commingling or other financial practices that undermine the legal separation between the entities and between the entities and the owner. This examination should cover at a minimum the last two to three years and should identify any instances of personal expenses paid from entity accounts, business expenses paid from personal accounts, transfers between accounts that were not documented as the appropriate category of transaction, and any other patterns that suggest the financial boundaries were not consistently maintained.<\/p>\n\n\n\n<p>The financial separation analysis should also examine whether each entity has dedicated bank accounts consistently used only for that entity&#8217;s financial activity. An entity that shares a bank account with another entity or with the owner personally has a commingling record that will appear in the banking records, and that will be identifiable by a creditor conducting financial discovery.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Prioritizing and Addressing Findings<\/h2>\n\n\n\n<p>Risk exposure analysis produces findings that vary in severity and urgency. The most severe findings are those that create immediate and substantial vulnerability to a creditor challenge: an entity with years of governance neglect and consistent commingling, or a trust whose governing documents give the settlor retained control rights that undermine its legal effectiveness. These findings require immediate corrective action, to the extent corrective action is available, given the structure&#8217;s current circumstances.<\/p>\n\n\n\n<p>Less severe findings, such as a governing document that is slightly outdated but not materially inaccurate, or a single instance of commingling that was promptly corrected and is not part of a pattern, can be addressed through the normal course of governance maintenance without creating urgency. The value of a structured risk exposure analysis is the prioritized findings list it produces: a clear identification of which vulnerabilities require immediate attention, which require near-term correction, and which can be addressed as part of regular governance maintenance.
