Collins<\/em> (1945) \u2013 Protects domains set apart for free assembly<\/p>\n\n\n\n<p>The Court has made clear that the <strong>government cannot interfere with a private association simply because it is unconventional, unlicensed, or unregulated<\/strong>, absent unlawful conduct.<\/p>\n\n\n\n<p><strong>Common Law Recognition Nationwide<\/strong><\/p>\n\n\n\n<p>Beyond constitutional protection, <strong>unincorporated associations are recognized under common law in every U.S. jurisdiction<\/strong>.<\/p>\n\n\n\n<p>Under common law:<br>\u2022 Associations may exist without state filing<br>\u2022 Members govern themselves by agreement<br>\u2022 Associations may hold property and enter into contracts<br>\u2022 Liability can be limited by contract<\/p>\n\n\n\n<p>Many states have also enacted statutes (such as the <strong>Uniform Unincorporated Nonprofit Association Act<\/strong>) that explicitly recognize these entities, but <strong>statutes are not required for legality<\/strong>.<\/p>\n\n\n\n<p><strong>Member Liability: What People Get Wrong<\/strong><\/p>\n\n\n\n<p>Membership in a PMA <strong>does not automatically create personal liability<\/strong>.<\/p>\n\n\n\n<p>Personal liability arises only when:<br>\u2022 A member personally guarantees an obligation<br>\u2022 A member authorizes or ratifies a specific act<br>\u2022 A member directly benefits from a specific liability<\/p>\n\n\n\n<p>This is why <strong>proper drafting matters<\/strong>.<\/p>\n\n\n\n<p><strong>Why Disclaimers Are Essential<\/strong><\/p>\n\n\n\n<p>A properly drafted PMA agreement clearly states that:<br>\u2022 No legal, tax, medical, or financial services are provided<br>\u2022 All information is educational or informational<br>\u2022 Members are responsible for engaging licensed professionals<\/p>\n\n\n\n<p>These disclaimers:<br>\u2022 Clarify capacity<br>\u2022 Reduce unauthorized-practice claims<br>\u2022 Reinforce personal responsibility<br>\u2022 Protect organizers and members<\/p>\n\n\n\n<p><strong>Are PMAs Restricted in Any States?<\/strong><\/p>\n\n\n\n<p>No state prohibits PMAs outright.<\/p>\n\n\n\n<p>However, <strong>specific activities<\/strong> may be regulated:<br>\u2022 Food and agriculture (especially meat and poultry)<br>\u2022 Medical and healthcare services<br>\u2022 Legal and financial advisory services<\/p>\n\n\n\n<p>Importantly, PMAs <strong>do not shield fraud or criminal conduct<\/strong>.
